Agreement to these Terms

These Terms of Use (“Terms”) are a binding agreement between you and VEXBLOCK LLC, a Florida limited liability company (“VEXBLOCK,” “we,” “us,” or “our”), governing your access to and use of vexblocksolutions.com and any related pages we operate (the “Site”).

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site. If you use the Site on behalf of a company, agency, or other organization, you represent that you are authorized to accept these Terms on its behalf, and “you” includes that organization.

Our Privacy Policy describes how we handle information and is incorporated into these Terms by reference.

Sections 16, 17, 18, and 20 limit our liability, require you to indemnify us in certain circumstances, and govern how disputes are resolved. Please read them.

What the Site is

The Site is an informational and business-development website. It describes VEXBLOCK’s services, provides information for commercial, government, institutional, and residential clients, and offers forms through which you can request a quote or express interest in working with us.

The Site is not a client portal. It has no user accounts, no logins, and no payment processing, and it is not a channel for emergency or urgent requests. If you have an urgent facility issue, call the appropriate emergency service or the telephone number in your services agreement — do not use a web form.

The Site is not an offer, and using it does not create a contract for services

Information on the Site — including service descriptions, capability statements, and process explanations — is provided for general informational purposes. It is not an offer to perform services, not a proposal, and not a warranty or guarantee of any particular result, price, schedule, or scope.

Submitting a form, sending an email, or speaking with us does not create a contract for services, a client relationship, or any obligation on our part to perform work or to submit a bid. A contract for services is formed only when VEXBLOCK and the client sign a written agreement — or when VEXBLOCK is awarded a contract through a procurement process and executes the resulting contract documents.

Quotes, estimates, and proposals

Any quote, estimate, or proposal we provide is subject to the terms stated in it, including its expiration date, and to our verification of the site conditions, scope, access, and specifications on which it is based. Quotes are typically based on information you provide and, where applicable, a site walkthrough. If the actual conditions or scope differ materially from what was represented or observed, the quote may be revised or withdrawn.

Unless a quote expressly states otherwise, it does not include any work not described in it, and it does not obligate either party until accepted in writing.

Services are governed by a separate written agreement

Where VEXBLOCK performs services, those services, and the parties’ respective obligations — including scope, schedule, pricing, standards, insurance, term, and termination — are governed by the executed services agreement, contract, purchase order, or awarded contract documents between the parties. If anything in these Terms conflicts with that agreement, the agreement controls as to the services, and these Terms continue to govern your use of the Site.

Government and institutional solicitations

We welcome solicitations, invitations to bid, requests for proposal or quotation, and scopes of work. Please note:

  • Sending us a solicitation does not obligate VEXBLOCK to respond, bid, or participate.
  • Our review and any response are governed by the terms of the solicitation and by applicable procurement law, which control over these Terms with respect to that procurement.
  • Material you send us in connection with a public procurement may be subject to disclosure under applicable public-records law. See Section 8 of the Privacy Policy.
  • Statements on the Site about our capabilities are general descriptions, not representations, certifications, or self-certifications for any specific solicitation. Certifications, registrations, insurance documentation, and required representations are provided in the form and manner the solicitation requires.

Expressions of interest in employment

The Join VEXBLOCK form is a way to tell us you are interested in working with us. Please understand:

  • It collects expressions of interest, not applications for a specific posted position, and submitting one does not constitute an application for employment, an interview, or consideration for any particular role.
  • Nothing on the Site, and no communication in response to a submission, constitutes an offer of employment or engagement, or any promise of employment, compensation, hours, or duration.
  • If VEXBLOCK extends an offer, it will be made in writing and will state its own terms. Any employment relationship with VEXBLOCK is at will to the fullest extent permitted by Florida law, meaning it may be terminated by either party at any time, with or without cause or notice, unless a written agreement signed by an authorized representative of VEXBLOCK says otherwise.
  • You represent that the information you submit is truthful, accurate, and your own to submit, and that submitting it does not breach any agreement you have with anyone else — including any non-competition, non-solicitation, or confidentiality obligation. Do not send us another party’s confidential information, trade secrets, or proprietary materials.
  • VEXBLOCK is an equal-opportunity employer and does not discriminate on the basis of any characteristic protected by applicable federal, Florida, or local law.
  • Please do not submit a Social Security number, driver’s license number, financial information, or medical information through the Site. If those are needed later in a hiring process, they will be requested through an appropriate channel with the required disclosures and authorizations.

Your submissions

Accuracy and authority. You agree that the information you submit is accurate and complete to the best of your knowledge, and that you have the right to submit it. Do not submit information about another person without their knowledge, and do not impersonate anyone or misrepresent your affiliation with any person or organization.

Not confidential unless agreed. Information you submit through the Site is not treated as confidential or proprietary unless (a) we have a signed confidentiality or services agreement covering it, or (b) it is submitted in a procurement in which applicable law or the solicitation affords it protection, or (c) you clearly mark it as confidential at the time of submission and we agree in writing to treat it as such. Please do not send trade secrets, security-sensitive facility information, or other confidential material through a web form. If a solicitation involves security-sensitive material, contact us first and we will arrange an appropriate channel.

Limited license to use what you send. So that we can respond, you grant VEXBLOCK a non-exclusive, worldwide, royalty-free license to use, reproduce, store, and internally distribute the material you submit, for the purposes of evaluating and responding to your inquiry, preparing quotes and bids, performing services, and complying with our legal and contractual obligations. You retain all ownership of your material. This license does not permit us to publish your material publicly or to use it in marketing — we will not do either without your separate written permission.

Unsolicited ideas. Please do not send us unsolicited business proposals, inventions, or creative ideas. If you do, we cannot treat them as confidential, and we are free to use ideas of that kind without obligation to you — subject to any intellectual-property rights you actually hold, which we do not ask you to give up.

Consent to be contacted

When you submit a form or send us your contact information, you are asking us to get back to you, and you consent to our doing so — by email, telephone, or text message at the address and number you provide — regarding your inquiry, quote, solicitation, or expression of interest.

You may withdraw that consent at any time: reply STOP to a text, tell us on a call, or email contact@vexblocksolutions.com. We will honor it. Message and data rates may apply to text messages sent or received.

Marketing calls and texts. Your form submission is consent to be contacted about your inquiry. It is not consent to receive marketing or promotional calls or texts sent using an automatic telephone dialing system or an artificial or prerecorded voice. If VEXBLOCK ever wishes to send that category of message, separate express written consent is legally required, obtained through a distinct disclosure and affirmative opt-in that is not bundled into a quote request. VEXBLOCK does not send automated marketing calls or texts and does not currently intend to.

Call recording. We do not record telephone calls.

Permitted use of the Site

You may view, download, and print pages of the Site for your own internal business or personal use in evaluating or engaging VEXBLOCK’s services, or in considering working with us, provided you do not remove any copyright, trademark, or other proprietary notice.

Prohibited conduct

You agree not to:

  1. use the Site for any unlawful purpose, or in violation of these Terms;
  2. submit false, misleading, fraudulent, or impersonating information, or use the forms to submit content that is defamatory, harassing, obscene, or unlawful;
  3. use any automated means — including bots, scrapers, crawlers, or harvesting tools — to access, copy, or collect content or contact information from the Site, except that operators of general public search engines may index the Site consistent with our robots.txt;
  4. attempt to circumvent, disable, or interfere with any security, authentication, rate-limiting, or human-verification feature, including our CAPTCHA;
  5. submit malicious code, or attempt to probe, scan, penetration-test, or test the vulnerability of the Site or its infrastructure without our prior written authorization;
  6. interfere with or disrupt the Site or the networks and infrastructure supporting it, including by excessive or automated form submission;
  7. use the Site or information obtained from it to send unsolicited commercial communications to VEXBLOCK or its personnel, or to sell or broker our contact information;
  8. frame, mirror, or deep-link the Site in a way that misrepresents your relationship with VEXBLOCK or implies endorsement, sponsorship, or affiliation that does not exist;
  9. reverse engineer or attempt to derive the source code of any part of the Site, except to the extent that restriction is unenforceable under applicable law; or
  10. reproduce, republish, distribute, sell, license, or create derivative works from Site content except as Section 10 permits or as we authorize in writing.

We may investigate and take appropriate legal and technical action against violations.

Intellectual property

The Site and its contents — including text, layout, design, graphics, photographs, compilations, and code — are owned by VEXBLOCK or its licensors and are protected by United States and international copyright and other intellectual-property laws. Except for the limited permission in Section 10, no right or license is granted to you, whether by implication, estoppel, or otherwise.

Trademarks. VEXBLOCK, the VEXBLOCK wordmark, and “Service. Done Right.” are trademarks or service marks of VEXBLOCK. You may not use them without our prior written permission, except in plain-text references that accurately identify VEXBLOCK and do not imply endorsement or affiliation. Other names and marks appearing on the Site are the property of their respective owners; their appearance does not imply any affiliation or endorsement.

Third-party content. Some photographs and other material on the Site may be licensed from third parties and used under license. Those materials may not be extracted or reused.

Photography and illustrative content

Photographs on the Site are used to represent the categories of environment VEXBLOCK serves — commercial, institutional, and residential properties. Unless a photograph is expressly captioned otherwise, it does not depict a VEXBLOCK client, a VEXBLOCK project site, VEXBLOCK personnel, or work performed by VEXBLOCK, and it should not be understood as a representation of past or current engagements.

Service area and availability

Statements about service area and service availability are general and subject to change. Availability for any particular property, scope, or schedule is confirmed only in a quote or written agreement. Statements about services VEXBLOCK expects to offer describe present intent and are not commitments.

Third-party websites and content

The Site may link to, or embed content from, third parties. We provide those links and embeds for convenience, and their presence is not an endorsement. We do not control third-party sites or content, do not review them on an ongoing basis, and are not responsible for them, for their availability, or for any loss arising from your use of them. Your use of a third-party site is governed by that party’s terms and privacy policy.

Disclaimer of warranties

The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, VEXBLOCK disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting that: we do not warrant that the Site will be uninterrupted, timely, secure, or error-free; that content will be accurate, complete, or current; that defects will be corrected; or that the Site or its servers are free of harmful components. You are responsible for your own device security and data backup.

Nothing in this Section disclaims any warranty, standard of performance, or obligation contained in a written services agreement between you and VEXBLOCK. This Section addresses the website only.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this Section may not apply to you.

Limitation of liability

To the fullest extent permitted by law, VEXBLOCK and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or relating to your access to or use of — or inability to use — the Site, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100.00).

These limitations are an essential basis of the bargain and apply even if a limited remedy is found to have failed of its essential purpose. They do not apply to liability that cannot be limited or excluded as a matter of law, and they do not limit VEXBLOCK’s obligations or liability under a written services agreement, which contains its own liability provisions and insurance requirements.

Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless VEXBLOCK and its owners, officers, employees, contractors, and agents from and against any claims, demands, actions, losses, liabilities, damages, costs, and expenses — including reasonable attorneys’ fees — arising out of or relating to (a) your breach of these Terms; (b) your misuse of the Site, including any conduct described in Section 11; (c) any information you submit through the Site, including any claim that it infringes or misappropriates the rights of a third party or was submitted without authority; or (d) your violation of applicable law. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, in which case you agree to cooperate with our defense.

Governing law and venue

These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and by applicable United States federal law.

Subject to Section 20, you and VEXBLOCK agree that the exclusive venue for any action shall be the state or federal courts located in Hillsborough County, Florida, and each party consents to the personal jurisdiction of those courts and waives any objection based on venue or forum non conveniens.

Dispute resolution

Courts. Disputes are resolved in the courts identified in Section 19. The parties waive any right to a trial by jury in any action arising out of or relating to these Terms or the Site, to the fullest extent permitted by law.

Informal resolution first. Before filing anything, please send a written description of the dispute to contact@vexblocksolutions.com, and give us 30 days to try to resolve it. We commit to the same courtesy before initiating a claim against you. Most disputes end here.

Time limit. To the fullest extent permitted by law, any claim arising out of or relating to the Site or these Terms must be brought within one (1) year after the claim arose, or it is permanently barred. This limitation does not apply to claims under a services agreement, which is governed by its own terms and by applicable statutes of limitation.

Changes to these Terms and to the Site

We may modify these Terms at any time by posting the revised version with an updated “Last updated” date. Changes are effective when posted and apply prospectively. If a change is material, we will provide more prominent notice. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.

We may also change, suspend, or discontinue any part of the Site at any time, without notice or liability.

Suspension of access

We may restrict or block your access to the Site, in whole or in part, at any time and without notice, if we reasonably believe you have violated these Terms or that doing so is necessary to protect the Site, our personnel, or others. Sections 8, 12, and 16 through 20 survive any termination of your access.

General provisions

Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions will remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.

No third-party beneficiaries. These Terms do not confer rights on anyone other than you and VEXBLOCK.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and VEXBLOCK regarding your use of the Site, and supersede any prior understanding on that subject. They do not supersede, and are not part of, any written services agreement between you and VEXBLOCK.

Headings and interpretation. Headings are for convenience only. “Including” means “including without limitation.” These Terms will not be construed against the drafter.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, severe weather, hurricanes, utility or network failures, labor disruption, or acts of government.

Electronic communications. You consent to receive communications from us electronically and agree that electronic records and signatures satisfy any requirement that a communication or agreement be in writing.

Export and compliance. You agree to comply with applicable export-control, sanctions, and anti-corruption laws in connection with your use of the Site.

Accessibility

VEXBLOCK intends the Site to be usable by everyone, and we work toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you encounter a barrier on the Site, or need information from it in an alternative format, contact us at contact@vexblocksolutions.com or (656) 201-0087 and we will work to provide the information or transaction you need through an accessible means.
